Acceptance of terms
By accessing or using Unsaid, creating an account, or submitting information through our website or services, you agree to these Terms of Service. If you do not agree, do not use the services.
Eligibility
You must be at least 18 years old and have authority to enter into these Terms on behalf of yourself or the organization you represent. Business accounts must be created by authorized representatives.
Business accounts
Unsaid is intended for business use. You are responsible for ensuring that your organization's use complies with applicable laws, employment policies, and internal governance requirements.
Authorized users
You control which individuals may access your account. You are responsible for their actions, credentials, and compliance with these Terms.
Description of the service
Unsaid provides operational intelligence and reporting tools that help businesses collect, organize, and review private customer feedback. Unsaid does not guarantee business performance, revenue outcomes, or operational results.
Customer questionnaires
You may configure questionnaires presented to your customers or visitors. You are responsible for the content of questions, how invitations are distributed, and ensuring that collection practices comply with applicable law and your privacy obligations.
Customer responses
Customer responses may contain opinions and subjective observations. They are not verified facts. You remain responsible for how you interpret and act on feedback, including employment, compliance, operational, and management decisions.
Acceptable use
You agree to use Unsaid only for lawful business purposes and in accordance with these Terms and applicable law.
Prohibited conduct
You may not:
- Use the platform to unlawfully discriminate, retaliate, harass, or violate employee or customer rights
- Republish private customer observations publicly without lawful basis and authorization
- Attempt to gain unauthorized access to accounts or data
- Interfere with the security or integrity of the services
- Use the services in violation of applicable privacy laws
Account security
You are responsible for safeguarding login credentials and notifying us promptly of suspected unauthorized access.
Billing, pricing & plan changes
Billing and pricing
Your subscription is billed in advance on a recurring basis according to the billing cycle you select. By subscribing, you authorize Unsaid to charge the payment method on file for all applicable subscription fees, taxes, and any additional charges incurred under your account.
Flexible pricing model
Unsaid may offer subscription plans, usage-based pricing, feature-based pricing, or custom enterprise pricing. Pricing may vary based on factors including, but not limited to:
- Number of business locations
- Number of users
- Volume of customer submissions
- API usage
- Storage requirements
- Premium features or add-ons
- Integrations
- Customer support level
- Operational or infrastructure costs
- Other reasonable business factors
Certain features or services may require additional fees beyond the base subscription.
Plan adjustments
If your usage exceeds the limits of your current plan, Unsaid may:
- Recommend an upgraded plan
- Automatically apply overage charges where disclosed
- Upgrade your account to the most appropriate subscription tier
- Contact you regarding a custom pricing arrangement
Whenever reasonably practicable, we will provide notice before any automatic upgrade or material billing adjustment takes effect.
Pricing changes
Unsaid reserves the right to modify subscription pricing, usage limits, plan features, or billing structures at any time. Material pricing changes affecting existing subscribers will generally become effective at the start of the next billing cycle following reasonable advance notice, unless a shorter notice period is required by law or necessary to protect the security, integrity, or operation of the Service.
Continued use of the Service after the effective date of a pricing change constitutes acceptance of the updated pricing.
Enterprise agreements
Customers operating under a separately negotiated enterprise agreement, master services agreement, statement of work, or written order form will remain governed by those pricing terms for the duration of the applicable agreement unless otherwise agreed in writing.
Usage abuse & fair use
To ensure reliable service for all customers, Unsaid reserves the right to impose reasonable usage limits or require migration to a higher service tier if an account generates substantially greater usage than is typical for its subscribed plan or materially impacts platform performance.
Cancellation
You may cancel according to the terms in your agreement. Upon cancellation, access may end at the conclusion of the current billing period unless otherwise stated.
Customer-provided content
You retain responsibility for content you submit, including questionnaire configuration and business data. You grant Unsaid the rights necessary to host, process, and display that content to provide the services.
Platform ownership
Unsaid, including its software, branding, and documentation, is owned by Techone LLC and its licensors. These Terms do not grant you ownership of the platform.
Feedback and suggestions
If you provide ideas or suggestions about the product, we may use them without obligation to you, subject to any separate written agreement.
Confidentiality
Customer feedback collected through Unsaid is intended to be private to your organization. You agree to treat such information as confidential operational data unless disclosure is required by law or authorized by policy.
Data use
Our use of data is described in the Privacy Policy. By using the services, you acknowledge that data will be processed as described there.
Third-party services
The services may integrate with third-party providers. Their terms and privacy practices govern your use of those services.
Availability
We strive for reliable availability but do not guarantee uninterrupted access. Maintenance, updates, or events beyond our reasonable control may affect availability.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. Unsaid DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT WHERE ALLOWED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Techone LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY IS LIMITED TO THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF NO FEES WERE PAID, WHICHEVER IS GREATER, EXCEPT WHERE PROHIBITED BY LAW.
Indemnification
You agree to indemnify and hold harmless Techone LLC from claims arising from your use of the services, your content, or your violation of these Terms or applicable law.
Termination
We may suspend or terminate access for violation of these Terms or non-payment. You may stop using the services as provided in your agreement. Sections that by nature should survive will survive termination.
Governing law
These Terms are governed by the laws of Delaware, without regard to conflict-of-law principles, except where prohibited by applicable law.
Dispute resolution
Disputes will be resolved as specified in your order form or master services agreement. Absent such an agreement, exclusive venue is the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
Changes to the terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use after changes constitutes acceptance where permitted by law.
